Terms and Conditions

Definitions

  • Agreement. Any approved contract, proposal, statement of work, service agreement, onboarding documentation, or related project materials accepted by both parties.
  • Client Materials. All content, branding assets, media files, access credentials, documentation, specifications, code, or other resources supplied by the client for project execution.
  • Deliverables. All project outputs agreed within the scope of work, including frontend interfaces, UI components, web applications, source code, integrations, documentation, and related materials.
  • Company Assets. Any proprietary systems, frameworks, templates, libraries, workflows, deployment methods, reusable code components, scripts, or internal technical resources developed or licensed by our company.
  • Final Deliverables. The approved and completed version of the deliverables provided to the client according to the agreement.
  • Project. Any frontend development, consulting, recruitment, support, optimization, migration, integration, or related technical work performed under the agreement.
  • Services. All professional services provided by our company, including frontend development, UI implementation, web optimization, consulting, maintenance, and technical support.
  • Third-Party Resources. Any software, cloud platforms, hosting providers, APIs, libraries, plugins, stock assets, or licensed technologies owned or operated by third parties.

Provision of Services

Our company agrees to provide frontend development and related technical services according to the approved proposal, milestones, and project documentation.

Proposal and Scope

All project proposals remain valid for thirty (30) calendar days unless another validity period is specified.

If the proposal is not approved within this period, we reserve the right to revise timelines, pricing, technical recommendations, or staffing availability before issuing an updated proposal.

Fees and Compensation

  • Service Charges. The client agrees to pay all fees and applicable taxes according to the approved agreement or milestone structure.
  • External Costs. Third-party costs, including hosting services, premium plugins, software licenses, APIs, stock assets, or cloud subscriptions, are billed separately unless explicitly included in the agreement.
  • Reimbursable Expenses. Reasonable project-related expenses incurred during service delivery may be invoiced to the client at cost.

Payment Terms

  • Invoices. Invoices are payable within five (5) business days from the issue date unless otherwise specified in writing.
  • Payment Schedule. Payments shall follow the project milestones, monthly engagement terms, or billing structure outlined within the agreement.

Failure to complete payments on time may result in project delays or suspension of ongoing services.

Scope Changes

Modification Requests

All requests to modify the approved project scope must be submitted in writing.

We will review requested changes and provide information regarding any impact on pricing, resources, timelines, or technical implementation.

Minor Updates

Small adjustments or revisions may be completed under standard hourly billing rates without requiring a separate agreement.

Major Changes

Large-scale modifications, redesigns, additional functionality, or architectural changes may require an updated proposal or separate agreement before implementation.

Approval Timeline

Revised proposals related to scope changes should be approved within fourteen (14) business days to maintain project continuity.

Delays and Timeline Extensions

Client Delays

The client agrees to provide approvals, materials, access credentials, and feedback within reasonable timeframes.

Project timelines may be extended if delays occur due to incomplete information or untimely communication from the client.

Company Delays

If delays arise on our side, we will notify the client promptly and provide updated delivery estimates.

Circumstances Beyond Control

Neither party shall be liable for delays caused by circumstances beyond reasonable control, including natural disasters, infrastructure outages, labor disputes, cyber incidents, governmental actions, or force majeure events.

Review and Acceptance

Testing

Deliverables are reviewed and tested using commercially reasonable industry practices before submission.

Acceptance Period

The client has seven (7) business days to review submitted deliverables and either approve them or provide written feedback describing any issues.

Where reasonable corrections are required, we will revise and resubmit the deliverables for additional review.

If no response is received during the review period, the deliverables may be considered accepted.

Client Responsibilities

The client agrees to:

  • Supply lawful and accurate project materials;
  • Ensure rights to all provided content and assets;
  • Review deliverables and provide timely feedback;
  • Verify all supplied information before deployment or publication;
  • Make decisions regarding integrations, hosting, or third-party tools without unnecessary delay.

Additional work resulting from incomplete, inaccurate, or delayed information may result in additional charges.

Attribution and Promotional Rights

  • Attribution. Unless otherwise agreed, our company may place a discreet attribution reference within project documentation or technical materials.
  • Portfolio Rights. We reserve the right to display completed projects, screenshots, frontend examples, technical summaries, or case studies within company portfolios, presentations, websites, or promotional materials unless restricted by confidentiality obligations.
  • Public References. Both parties may reference the cooperation relationship in a factual and professional manner unless restricted by a separate written agreement.

Confidentiality

Both parties agree to maintain the confidentiality of business, technical, operational, and commercial information shared during cooperation.

Confidential information shall not be disclosed to third parties except where necessary for project execution, legal compliance, or authorized operations.

Information shall not be considered confidential if it:

  • Is publicly available without breach of obligation;
  • Was lawfully known before disclosure;
  • Is independently developed without access to confidential information;
  • Is obtained from another unrestricted source.

Relationship Between the Parties

  • Independent Contractor. Our company acts as an independent contractor. Nothing within this agreement creates a partnership, employment relationship, agency, or joint venture.
  • External Specialists. We may engage subcontractors, consultants, or technical specialists while remaining responsible for agreed deliverables.
  • Non-Exclusive Cooperation. Both parties remain free to cooperate with other businesses, clients, contractors, or service providers.

Limitation of Liability

All services are provided on an “as is” and “as available” basis unless otherwise expressly agreed.

To the maximum extent permitted by law, our company shall not be liable for indirect, incidental, consequential, or financial damages, including business interruption, lost profits, revenue loss, or data loss.

Any liability related to the provided services shall be limited to the amount paid by the client for the affected services.

Intellectual Property Rights

  • Usage Rights. Upon full payment, the client receives a non-exclusive, perpetual right to use the final deliverables for agreed business purposes.
  • Restrictions. The client may not redistribute, reverse engineer, extract, or commercially reuse proprietary company frameworks, templates, reusable systems, or internal technical resources without written authorization.
  • Retained Ownership. Our company retains ownership of all pre-existing methodologies, reusable frontend components, workflows, internal systems, and technical assets used during project execution.

Support and Maintenance

Additional support, updates, maintenance, troubleshooting, optimization, or post-launch assistance may be provided under separate agreements or billed at standard service rates.

Support obligations become void if unauthorized third parties modify the deliverables or associated systems.

Changes to These Terms

We reserve the right to revise or update these Terms and Conditions at any time.

Updated versions will be published on this page, and continued use of the website or services constitutes acceptance of the revised terms.
